Terms and Conditions
These Terms and Conditions govern the participation of Agents (hereinafter referred to as
"Agent" or "you") in XP Network's business platform. By registering as an Agent and paying the
associated fees, you agree to the following:
1. Registration and Licensing
1.1. To become an Agent, you must pay a one-time license fee of $245.
1.2. Agents are required to pay a recurring monthly membership fee of $50 to maintain active
status and access platform benefits.
1.3. Fees are non-refundable except as outlined in XP Network's refund policy.
2. Agent Roles and Responsibilities
2.1. Agents are authorized to: - Onboard new vendors to the XP Network platform. - Recruit additional agents to join XP Network. - Share their referral link to generate successful referrals.
2.2. Agents must use ethical and lawful practices in promoting XP Network and its services.
2.3. Misrepresentation of XP Network or its benefits will result in immediate termination and
forfeiture of compensation.
3. Compensation Plan
3.1. Agents are eligible for the following commissions and bonuses: - 50% Commission: Earned on all successful referrals generated through your referral link. - 10% Bonus Commission: Earned on all successful referrals made by vendors that you have personally sponsored.
3.2. Residual income is generated from vendor memberships and other related activities within
your network, up to five levels of depth.
3.3. Payments are processed through XP Network's electronic wallet and can be withdrawn or
used to purchase vendor products and services.
4. Referral Link
4.1. Each Agent will receive a unique referral link to track vendor and user activity.
4.2. Agents must not share their referral link in unauthorized or misleading ways.
4.3. XP Network reserves the right to suspend referral links for misuse or inactivity.
5. Membership Renewal
5.1. The $50 monthly fee must be paid on time to maintain active status.
5.2. Failure to pay the monthly fee will result in suspension of Agent privileges, including access
to compensation.
5.3. Accounts can be reinstated by clearing outstanding payments within 30 days of suspension.
6. Code of Conduct
6.1. Agents must uphold XP Network's standards of professionalism, honesty, and integrity.
6.2. Agents may not engage in fraudulent, misleading, or unethical activities while representing
XP Network.
6.3. Violations of the Code of Conduct will result in termination of your account and forfeiture of
commissions.
7. Intellectual Property
7.1. XP Network retains all intellectual property rights to marketing materials, tools, and
branding.
7.2. Agents may use these resources solely for promoting XP Network services and may not alter
or misuse them.
8. Payment and Taxes |
8.1. All payments to Agents are processed through XP Network’s electronic wallet.
8.2. Agents are responsible for reporting and paying applicable taxes on their earnings.
8.3. XP Network will issue a 1099 form for tax purposes where required.
9. Termination
9.1. Agents may cancel their agreement at any time by providing written notice.
9.2. XP Network reserves the right to terminate an Agent’s account for: - Non-payment of fees. - Breach of these Terms and Conditions. - Misconduct or misrepresentation.
9.3. Upon termination, any pending commissions will be paid according to XP Network's
payment schedule.
10. Limitation of Liability
10.1. XP Network is not liable for any indirect, incidental, or consequential damages arising from
your role as an Agent.
10.2. Agents are solely responsible for their marketing activities and compliance with all
applicable laws.
11. Amendments
11.1. XP Network reserves the right to update these Terms and Conditions. Agents will be
notified of significant changes via email or the platform.
12. Governing Law
12.1. These Terms and Conditions are governed by the laws of the state where XP Network is
registered. Disputes will be resolved in the courts of this jurisdiction.
By registering as an Agent and paying the associated fees, you acknowledge and agree to abide
by these Terms and Conditions. Failure to comply may result in forfeiture of your license and
compensation.
